Terms of Service

1. Agreement to terms

By using Frenzee ("the Service"), you agree to these Terms of Service ("Terms"). The Service is provided by Signal Collective ("we," "us," "our"), a company registered in Hong Kong.

If you use the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

If you do not agree, do not use the Service.

2. Description of service

Frenzee is a business operations intelligence platform operating within WhatsApp. The Service includes:

  • Linked device capture: Frenzee connects to your WhatsApp account as a companion device (similar to WhatsApp Web). You select which conversations — group chats and/or 1:1 conversations — Frenzee can access. It captures messages, transcribes voice notes, tracks tasks, and generates daily briefings from selected conversations.
  • Operations assistant: An AI assistant with ~155 tools across invoicing, expenses, scheduling, CRM, team performance, and more — all operated through WhatsApp conversation.
  • Daily briefings: Structured intelligence reports delivered to your WhatsApp each day, covering what happened, what needs attention, and what's next.
  • A web dashboard for viewing captured data, briefings, team insights, and managing your account.
  • Onboarding and support via WhatsApp Business Platform.

3. Account registration

To use Frenzee, you must:

  • Be at least 18 years of age.
  • Provide accurate information during onboarding.
  • Be the owner or authorized representative of the business you register.
  • Have appropriate authority and legal basis to link your WhatsApp account and capture conversations from it.

Your account is tied to your phone number. You are responsible for all activity under your account.

4. Your responsibilities as a business owner

As the data controller for data captured from your WhatsApp conversations, you must:

  • Inform your staff: You must notify employees, team members, and any other individuals whose 1:1 or group conversations you select for capture. This is a legal requirement under applicable privacy laws. In 1:1 conversations, the linked device is not visible to the other party — they will not know their messages are being captured unless you tell them.
  • Ensure lawful basis: You must have a lawful basis under applicable privacy laws (e.g., Hong Kong PDPO, Singapore PDPA) to process your staff's messages and voice notes for business operations purposes.
  • Use appropriately: You must not use Frenzee for covert surveillance, harassment, discrimination, or any purpose that violates applicable laws or employee rights.
  • Limit capture to business conversations: You should only select conversations that are genuinely business-relevant. Capturing personal conversations without consent may violate applicable privacy laws.
  • Respond to data requests: You must respond to staff requests regarding their personal data within the timeframes required by applicable law.

Important: Signal Collective is not liable for business owners who fail to inform individuals about data capture or who capture conversations without appropriate legal basis.

5. Acceptable use

You agree not to:

  • Use the Service for any illegal purpose.
  • Send spam, unsolicited messages, or engage in bulk messaging through the assistant.
  • Attempt to gain unauthorized access to our systems or other users' data.
  • Reverse-engineer, decompile, or extract our source code.
  • Overburden or impair our infrastructure.
  • Resell or redistribute access without our written consent.
  • Capture conversations of individuals who have not been informed and have not given appropriate consent where required by law.
  • Use captured data to discriminate against, harass, or retaliate against employees or other individuals.

6. WhatsApp platform compliance

Our Service connects to WhatsApp through the linked device protocol. You acknowledge and agree that:

  • You must comply with WhatsApp's Terms of Service and acceptable use policies.
  • WhatsApp (Meta) may change their platform, protocols, or policies at any time. Such changes may affect the functionality or availability of Frenzee.
  • We are not responsible for actions taken by WhatsApp or Meta that affect the Service, including account restrictions, protocol changes, or policy enforcement.
  • If WhatsApp restricts your account due to your use of linked devices or third-party services, we are not liable for any resulting loss of access or data.

7. Subscription and payment

7.1 Free tier

The Starter plan is free and includes basic message capture. No credit card required.

7.2 Paid plans

Paid plans (Essentials $19/mo, Pro $39/mo, Business $69/mo) are billed monthly via Stripe in USD. All paid plans include a 7-day free trial with no credit card required to start.

7.3 Billing and cancellation

Subscriptions renew automatically. Cancel anytime from your dashboard or Stripe customer portal. Cancellation takes effect at the end of the current billing period. No refunds for partial periods.

7.4 Price changes

We may change prices with 30 days' notice. Changes do not affect existing subscriptions until the next renewal.

7.5 Failed payments

Failed payments trigger a 7-day grace period with full access. After grace period, your account reverts to the free tier. Data is preserved for 30 days. Resubscribe anytime to regain access.

8. AI-generated content and tool execution

Frenzee uses AI models to generate summaries, categorize messages, transcribe voice notes, execute tools (invoicing, scheduling, CRM operations, etc.), and provide insights. You acknowledge that:

  • AI-generated content may contain errors or inaccuracies.
  • Voice transcriptions may be imperfect, especially with background noise, accents, or mixed languages.
  • Tool outputs (invoices, performance summaries, expense logs) should be reviewed before being shared or acted upon.
  • Daily briefings are summaries, not verbatim records — they may omit or mischaracterize information.
  • AI insights are not a substitute for professional legal, financial, medical, or compliance advice.

We are not liable for decisions made based on AI-generated content or tool outputs.

9. Intellectual property

Your data: You retain all rights to your business data, messages, and content. We do not claim ownership of your data.

Our service: The Frenzee platform, including its design, code, AI systems, branding, and documentation, is owned by Signal Collective.

Generated documents: Documents generated by Frenzee (invoices, performance letters, etc.) are your property. We retain no rights to them.

10. Service availability and platform risk

We aim to provide reliable service but do not guarantee 100% uptime. The Service may be unavailable due to:

  • Scheduled maintenance (we will provide notice when possible)
  • Third-party outages (WhatsApp, AI providers, hosting infrastructure)
  • Changes to WhatsApp's platform or linked device protocol
  • Force majeure events (see Section 15)

We will make reasonable efforts to notify you of significant service disruptions via WhatsApp or email.

11. Limitation of liability

To the maximum extent permitted by law:

  • The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • We are not liable for indirect, incidental, special, consequential, or punitive damages.
  • Our total liability for any claim is limited to the amount you paid us in the 12 months preceding the claim, or USD $100, whichever is greater.
  • We are not liable for actions taken by your employees, customers, or third parties.
  • We are not liable for data loss caused by third-party service failures, including WhatsApp platform changes.
  • We are not liable for your failure to inform staff about data capture or to obtain appropriate legal basis for processing their data.

12. Indemnification

You agree to indemnify and hold harmless Signal Collective from claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Violation of these Terms
  • Violation of applicable laws, including privacy and data protection laws
  • Claims by your employees or other individuals related to data captured by the Service
  • Your failure to inform individuals about data capture

13. Termination

By you: Cancel your subscription and delete your account anytime from dashboard settings, by messaging our support, or by unlinking Frenzee from your WhatsApp.

By us: We may suspend or terminate your account for Terms violations, abusive behavior, or legal requirements. We provide reasonable notice except for severe violations.

Effect: Access stops. Data retained for 30 days, then permanently deleted. Request a data export before deletion.

14. Dispute resolution

These Terms are governed by the laws of Hong Kong SAR. Disputes shall be resolved through good-faith negotiation, then binding arbitration in Hong Kong under HKIAC Administered Arbitration Rules.

15. Force majeure

Neither party is liable for failure to perform due to events beyond reasonable control, including natural disasters, wars, pandemics, government actions, internet outages, or third-party service failures (including changes to WhatsApp's platform). The affected party must notify the other promptly and make reasonable efforts to mitigate the impact.

16. General provisions

  • Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Signal Collective regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
  • Waiver: Failure to enforce any provision does not constitute waiver of that provision.
  • Assignment: You may not assign these Terms without our written consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets, with notice to you.
  • Notices: We may send notices via WhatsApp message to your registered phone number or via email. Notices are effective upon delivery.

17. Changes to these terms

We may update these Terms as the Service evolves. We will notify active users of material changes via WhatsApp at least 14 days before changes take effect. Continued use after the effective date constitutes acceptance.
